1.1. “Company”, “we”, “us”, “our” — Parkside REAM Limited trading as URBANOME AI.
1.2. “Service(s)” — any software, AI tools, models, dashboards, reports, content, or support provided by the Company.
1.3. “User”, “you” — any individual or entity accessing or using the Services.
1.4. “Customer Data” — all information submitted, stored, or uploaded by the User.
1.5. “Personal Data” — as defined under UK GDPR and Data Protection Act 2018.
1.6. “Policies” — all supporting policies referenced within these Terms (Privacy, Cookies, AML/KYC, Modern Slavery, etc.).

2. Agreement to Terms
By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all referenced Policies.
If you do not agree, you must immediately cease all use of the Services.

3. Service Nature & Reliance Disclaimer
The Services provide informational assistance only.
They are not, and must not be treated as:
• legal, planning, engineering, architectural, tax, safety, or investment advice
• guarantees of regulatory approval or compliance
• substitutes for professional inspection or certification
You must seek independent professional advice before making decisions based on output.

4. Acceptable Use
You must not:
• commit or facilitate unlawful activity (including AML/sanction breaches)
• misuse, copy, or reverse engineer models or systems
• rely solely on outputs for statutory approvals or construction decisions
• upload harmful, infringing, or misleading content
We may suspend access at any time for any suspected breach.

5. AML / KYC / Compliance
We may require User verification.
We may conduct ongoing AML, sanctions, risk, and adverse media screening.
We may suspend or terminate access without notice if suspicious activity is identified and may report concerns to relevant authorities.

6. Modern Slavery
We enforce a zero-tolerance stance on modern slavery and human trafficking.
Users warrant compliance within their own supply chains and operations.

7. Data Protection & Security
We handle Personal Data in accordance with applicable law.
Security measures are implemented; however absolute security cannot be guaranteed.
Users remain responsible for:
• lawful basis for Personal Data submission
• accuracy and permissions related to Customer Data
• compliance with data privacy obligations

8. Intellectual Property Rights
All IP in the Service — including models, algorithms, software, designs, texts, and branding — is exclusively owned by the Company.
Customer retains ownership of Customer Data.
Unless separately agreed in writing:
• Service outputs are licensed solely for internal business use
• resale or public distribution requires written approval
• reverse engineering or model extraction is prohibited

9. Limitation of Liability
To the fullest extent permitted by law:
• Total aggregate liability of the Company for any claim is limited to the total fees paid by the User in the twelve (12) months prior to the claim
• No liability for indirect, incidental, special, punitive, or consequential damages
• The User assumes all responsibility and risk of reliance on outputs
This allocation of risk is a fundamental basis of the Agreement.

10. Indemnity
Users shall indemnify and hold harmless the Company from all claims arising from:
• violations of these Terms
• misuse of the Services
• breaches involving Customer Data or third-party rights
​
11. Suspension & Termination
We may suspend or terminate access immediately where:
• legal or compliance risks are identified
• payment failures occur
• misuse or breach is suspected
We may retain certain records as required by law.

12. Policy and Terms Changes
We may revise these Terms or Policies at any time.
Continued use indicates acceptance of updated versions.
We aim to update in line with laws and best practice but cannot guarantee immediate updates.

13. Force Majeure
We are not liable for failure/delay caused by events outside our reasonable control including technological failures, cyberattacks, or regulatory restrictions.

14. Export & Sanctions Controls
Users must not access or use the Service:
• in sanctioned countries or jurisdictions
• for restricted military, dual-use, or weapons-related activities

15. Governing Law & Dispute Resolution
These Terms are governed by the laws of England & Wales.
Exclusive jurisdiction lies with the courts of England & Wales.

16. Confidentiality
Each party must keep confidential information private and only use it for the intended purpose.

17. Compliance & Law Enforcement Requests
We may disclose data to comply with law enforcement, regulatory investigations, and to prevent harm or crime.

18. Monitoring & Audit
We may log and monitor usage to protect:
• security
• system integrity
• compliance obligations

19. Fees & Refunds
Fees are non-refundable except where required by law.
Access may be paused or revoked for non-payment.

20. Third-Party Services
Use of third-party systems or data is at the User’s own risk.
We are not responsible for third-party availability or legal compliance.

21. Safety & Moderation
We may inspect content (automatically or manually) to enforce safety requirements.
We do not guarantee error-free moderation.

22. Takedown Requests
You may report suspected infringement or risks.
We may remove or disable affected content at our discretion.
​
23. Regulatory Change
We may modify access, pricing, features, or services if required by evolving law or policy.
We are not responsible for resulting compliance costs to the User.

24. Assignment
Users must not assign rights or obligations without written consent.
Company may assign rights to affiliates or successors.

25. Entire Agreement
These Terms and referenced Policies represent the complete agreement between parties.
