1. Interpretation
These Terms & Conditions (“Terms”) govern all orders, purchases, engagements, and service delivery between the customer (“Customer”, “you”) and Parkside REAM Limited trading as URBANOME AI (“Company”, “we”, “us”, “our”).
Definitions in the General Legal Terms & Policies document also apply.

2. Service Description
URBANOME AI provides informational digital reports, automated insights, and AI-assisted analysis related to planning, development, and regulatory context.
The Services are informational only. They do not constitute:
-
legal, planning, architectural, engineering, tax, safety, or investment advice
-
guarantees of regulatory approval or compliance
-
professional certification
Customers must seek independent professional advice before relying on any output. Customers remain responsible for regulatory approvals.

3. Orders and Availability
Orders may be placed through our website or via direct engagement. Orders are accepted only when confirmed in writing by the Company.
We may decline or cancel orders where:
-
information provided is incomplete or inaccurate
-
scope is technically unsuitable
-
compliance or AML concerns arise
-
payment is not received or fails validation
4. Customer Obligations
The Customer agrees that:
-
all data provided is accurate, lawful, and complete
-
all necessary rights and consents have been obtained
-
all outputs will be independently verified
-
third-party rights will be respected
-
all fees will be paid per Section 8
The Company may suspend services if data is incorrect, misleading, or non-compliant.
5. Delivery Times
Delivery estimates are indicative only and not guaranteed.
Delays do not entitle the Customer to refunds or damages except where required by law.
6. Intellectual Property
All intellectual property in the Services, systems, analytics, and outputs remains the exclusive property of the Company.
Unless otherwise agreed in writing:

licence granted is non-exclusive and non-transferable
-
use is restricted to internal business and design development purposes
-
outputs may not be redistributed, republished, or resold
7. Reliance and Risk Allocation
Customers acknowledge that:
-
AI insights may include errors, omissions, or outdated information
-
verification with official sources and professional advisers is essential
-
all reliance on outputs is at the Customer’s sole risk
The Company has no control over how outputs are used.
8. Fees, Taxes and Refunds
Fees are payable at the point of order unless otherwise agreed.
All fees are non-refundable including where:
-
planning or regulatory decisions differ from expected outcomes
-
Customer changes scope or corrects data
-
delays occur outside Company control
VAT and other taxes may apply.
9. Limitation of Liability
To the maximum extent permitted by law:
-
The Company’s total aggregate liability for any claim is limited to the total fees paid by the Customer in the twelve (12) months prior to the claim
-
The Company is not liable for indirect, special, incidental, punitive, or consequential damages including loss of profits, business interruption, or loss of data
-
Customer assumes full responsibility for verifying the suitability and accuracy of outputs
This allocation of risk is a fundamental condition of this Agreement.
10. Indemnity
Customer shall indemnify, defend, and hold harmless the Company from claims, losses, and liabilities arising from:
-
breach of these Terms
-
misuse of the Services
-
inaccurate or unlawful Customer Data
-
third-party claims related to property rights or data provided
11. Amendments and Termination
We may update these Terms at any time. Updated Terms will apply to future orders and continued use following publication constitutes acceptance.
We may terminate service where:
-
legal or regulatory change requires it
-
misuse or security concerns arise
-
Customer breaches these Terms
Upon termination, licences to outputs may be revoked.
12. Force Majeure
The Company is not liable for delays or non-performance due to events outside its reasonable control including system failures, data provider outages, government action, or cyber incidents.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of England & Wales.
The courts of England & Wales have exclusive jurisdiction to settle disputes.
